The simple version of our terms.

About these terms

These terms are an agreement between you and Ellipsis (“we”, “us”) for using the Ellipsis website, web app and Android app. By creating an account or using Ellipsis, you agree to them and to our Privacy Policy. If you don’t agree, please don’t use Ellipsis.

Who can use Ellipsis

You must be at least 18 years old to use Ellipsis. By creating an account, you confirm that you are. If we learn that an account belongs to someone under 18, we’ll delete it.

Your account

Ellipsis is a personal thinking and organization tool. Each account is for one person. Please give accurate information when you sign up, keep your password and devices secure, and let us know if you think someone else has accessed your account. You’re responsible for what happens under your account.

Your content

You retain ownership of the content you create in Ellipsis. You grant us the limited permission needed to host, process, and display it so the service can work, including sending it to the services described in our Privacy Policy when you use features that need them. You’re responsible for the content you add and for having the right to add it. You can export or delete your content at any time from Settings.

Respect the service

Please do not misuse Ellipsis. In particular, don’t:

  • attempt to access another person’s account or data, or interfere with or disrupt the service;
  • use Ellipsis in a way that breaks applicable law, or to store or share illegal content;
  • reverse engineer, decompile or copy the service, except where the law allows it;
  • scrape the service or access it with bots or automated scripts, other than through features we provide;
  • get around usage limits, rate limits or security measures, for example by creating extra accounts;
  • misuse the AI features, such as trying to make them produce harmful or illegal content, or using them to build a competing product.

AI features

Some features, like connections between thoughts, note expansion, Ask, the daily briefing, task suggestions and voice transcription, use AI. AI output can be wrong, incomplete or out of date, even when it sounds confident. Check anything important, and don’t rely on it for medical, legal, financial or other decisions where mistakes matter. You’re responsible for how you use what the AI features produce.

Plans and billing

Ellipsis has a free plan and paid plans (currently Plus and Pro). The features, limits and prices of each plan are shown on our pricing page and in the app. Prices include VAT or similar taxes where the law requires it; where tax is added, checkout shows it before you pay.

  • Who you pay: payments in US dollars, which covers international purchases including those from the EU and UK, are charged in US dollars by our reseller Lemon Squeezy, the merchant of record. It sells the subscription to you, handles the payment and taxes, and its own terms apply to the payment. If your card is in another currency, your bank may convert the charge. Payments in Nigerian naira are processed by Paystack.
  • Renewal: paid plans are subscriptions. They renew automatically at the end of each month or year, depending on what you chose, and you’re charged the plan’s price at the time, until you cancel. For yearly plans we email you about 30 days before each renewal.
  • Cancelling: you can cancel anytime in Settings, under Plan & usage. Your plan continues until the end of the period you’ve paid for, and you won’t be charged again. We don’t give refunds or credits for partial periods, except as described in the next two points.
  • 7-day money-back guarantee: if you cancel within 7 days of the first payment on your account, you can choose a full refund of that payment when you cancel, and your plan ends straight away. This applies once per account, to your first payment only. If you’ve changed plan since that payment, email us at the address below within the 7 days instead and we’ll sort it out. Your bank may take a few working days to show the refund.
  • Changing plan: you can move between plans or billing periods in the app. For payments in US dollars, the change is worked out by the day: moving to a more expensive option is charged straight away, and moving to a cheaper one is credited against your next payment. For payments in naira, you pay the new plan’s price when you switch, and we refund the unused part of your previous plan to the card you paid with.
  • Right of withdrawal (EU and UK): consumers in the EU and UK usually have 14 days to withdraw from an online purchase. Because your plan starts as soon as you pay, at checkout you ask us to start it immediately and acknowledge that you lose that 14-day right once it starts. The 7-day money-back guarantee above still applies.
  • Price changes: if we change the price of your plan, we’ll tell you at least 30 days before the new price applies to your next renewal, so you can cancel first if you prefer.
  • Failed payments: if a renewal payment fails, your plan keeps working for 7 days while the payment provider tries again and you update your payment details. If it still can’t be collected by then, you move to the free plan until a payment goes through. Nothing in your account is deleted.
  • Fair use: features described as “unlimited” are meant for reasonable personal use. If an account uses them in an automated, abusive or excessive way, we may limit that use.
  • Promotions and codes: we may offer promotional or gifted plans and promo codes. They’re time-limited unless we say otherwise, have no cash value, can’t be exchanged or transferred, and end on the date stated when you receive them.
  • Downgrades: moving to a lower plan, or back to Free, never deletes your content. If you have more of something than the new plan allows, like habits, spaces or calendars, you keep what you have, but you may not be able to add more or edit the extras until you’re back within the limit.

Every plan, including Free, has daily limits on some features, like Ask questions, AI actions and voice captures. Your current limits and usage are shown in Settings.

Changes to the service

We’re always improving Ellipsis, so we may add, change or remove features and adjust limits over time. If a change significantly reduces what you can do on your plan, we’ll tell you before it takes effect.

Other services

Ellipsis works with services run by other companies, such as the Google sign-in and the calendars you connect. Your use of those services is governed by their own terms and privacy policies, and we aren’t responsible for them. If one of them changes or stops working, the related feature in Ellipsis may stop working too.

The Android app

These terms also apply to the Ellipsis Android app. Google Play’s own terms apply to downloading it from Google Play, but Google isn’t responsible for Ellipsis or its support.

Ending your use

You can stop using Ellipsis and delete your account at any time from Settings. We may suspend or close your account if you seriously or repeatedly break these terms, if it’s needed to protect other people or the service, or if the law requires it. Where it’s reasonable, we’ll tell you why and give you a chance to export your content first. We may also stop offering Ellipsis; if we do, we’ll give you reasonable notice so you can export your data.

Disclaimers

We work hard to keep Ellipsis reliable, but it’s provided “as is” and “as available”. To the extent the law allows, we don’t make promises that it will always be available, error-free, or suitable for a particular purpose, and we don’t guarantee that reminders or notifications will always arrive on time. Please keep your own copy of anything you can’t afford to lose.

Limitation of liability

To the extent permitted by law, Ellipsis won’t be liable for any indirect, incidental, special or consequential losses, or for lost data, profits or opportunities, arising from your use of the service. To the extent permitted by law, our total liability for any claim about Ellipsis is limited to the greater of the amount you paid us in the 12 months before the claim or US$50.

Nothing in these terms limits or excludes liability that can’t be limited or excluded by law, such as liability for fraud, for death or personal injury caused by negligence, or your rights as a consumer under the laws of where you live.

Indemnity

To the extent permitted by law, you agree to cover our reasonable losses and costs from claims brought by others that arise from your content or from your breaking these terms or the law.

Changes to these terms

We may update these terms from time to time. If we make a material change, we’ll let you know by email or in the app before it takes effect. If you keep using Ellipsis after that, you accept the new terms; if you don’t agree, you can delete your account.

Governing law

These terms are governed by the laws of the country where Ellipsis is established, without affecting any mandatory consumer protection rights you have under the laws of where you live.
